All prizes will be awarded. No substitutions will be made for any prize except at the discretion of the Sponsors who may substitute prizes of equivalent value.

WNEP will conduct the Contest substantially as described in these rules. Participation in the Contest constitutes entrant's full and unconditional agreement to, and acceptance of, these Official Rules. This Contest may be temporarily postponed or discontinued at any time without prior notice.

How to Enter.

Watch WNEP2 from Thursday, October 29 through Wednesday, November 25 and look for the "Simplex Solar Power to Save" clues in the lower right hand portion of the screen. There will be a different clue every day of the contest period. Collect 4 clues, and write them on postcard along with your name, address, zip code, and telephone number, and mail to Power to Save contest, WNEP-TV, 16 Montage Mt. Rd., Moosic, PA, 18507. You may enter for as many times you wish, but you must send a separate postcard for each entry.

No correspondence can be answered.

All entries must be postmarked and arrive at WNEP by the regular postal service on or by November 25, 2009. Sponsors will not be responsible for lost, late, misdirected, mutilated or otherwise undeliverable mail.

Winners:

Winners will be determined in random drawings from all correctly addressed entries. Winners will be announced during Newswatch 16 at 6 on November 30. Winners will be notified by phone within 60 days thereafter. Each winner will be required to execute a declaration of eligibility that winner has complied with all the rules. The winners release Sponsors and all prize-supplier companies from all liability for damages or personal injury in connection with the winner's use of the prize goods or services, and consent that the Sponsors and anyone it/they may authorize may without compensation use winner's name, photograph or other likeness, biographical information and statements concerning the sweepstakes or the Sponsors for purposes of advertising and promotion. The declaration must be returned within 21 days of date of notification or an alternate winner will be selected. Odds of winning are determined by the total number of entries received.

A list of major prize winners will be available after November 30, 2009 by going to wnep.com.

Taxes:

Any valuation of the prize(s) stated above is based on available information provided to WNEP, and the value of any prize awarded to a winner may be reported for tax purposes as required by law. All taxes, including federal, state and local taxes, are the sole responsibility of winner. Any person winning over $600 in prizes from a station will receive a 1099 form at the end of the calendar year and a copy of such form should be filed with the IRS. Each winner must provide WNEP with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded.

Qualification:

Sweepstakes open to residents of Pennsylvania except where prohibited by law. Employees (and their immediate families and members of their household) of Sponsors and their respective subsidiaries, affiliates and advertising and promotion agencies are not eligible. Must be 18 or older to win. Winner must own the property and be named on the title to such property on which the Prize will be installed, and it must be Winner's primary residence. Installation will consist of a roof-mounted solar array and necessary wiring and peripheral components of a complete solar electric system. Sponsor claims final judgment of the roof suitability based on their assessment of roof age, roof size and structural condition. Sponsor will conduct a solar shade analysis of the winner's property; property must be south-facing with minimal shading; any property that is less than 80% solar efficient per shade analysis will not be eligible. Determination of suitability based on solar shade analysis is at Sponsor's sole discretion.

Term Agreement:

Sponsor will fully install and connect a solar electric system on the roof of the Winner's primary residence, or the roof of a property to which the Winner chooses to assign Prize is desired. Size of the system is at Sponsor's sole discretion based on a solar analysis to be conducted after Winner is announced. Specific components and make/model of system is at the sole discretion of the Sponsor.

Sponsor retains full ownership of the Prize after installation, leasing use of the system to Winner for a term of five (5) years for $0 per year.
1. Term: Five (5) years from date of system commission. At the conclusion of term, ownership of the system will transfer to the Winner. At that time, this agreement is concluded and all liability and ownership of the system and materials is transferred to the Winner.
2. Electric Bill: Winner is granted full use of all electricity produced by the solar array. Winner is required to pay for electricity consumed in excess of solar production. This will be done through Winner's existing electric utility provider. Sponsors disclaim any liability for any and all electric charges in excess of system production.
3. Transfer: This agreement is transferable in the event Winner sells the property on which the Prize is installed. All terms of this agreement will remain in force upon transfer to purchaser of the home/system.
4. Insurance: Winner is responsible for any increased insurance rates due to installation of system. Winner must provide proof of homeowner's insurance and All Risk coverage for cash value of system.
5. Permits: Winner is responsible for any and all costs and applications incurred for state, local or municipal permits required for installation of Prize, including but not limited to any inspection fees, utility interconnection or hook-in fees.
6. Maintenance: Winner is responsible for basic, periodic maintenance of system, eg. cleaning debris off of solar panels, trimming trees to remove shading. Simplex Solar retains responsibility for equipment failures and replacing components if necessary within the term of this agreement. Winner agrees to keep the system in good working order and comply with all manufacturer or Sponsor's instructions regarding the system.
7. Loss/Damage: Sponsor disclaims any responsibility for loss or damage to equipment covered under this agreement. Winner agrees to notify Simplex Solar of any loss or damage in writing immediately upon discovery of same.
8. State/Federal Solar Incentives: Simplex Solar retains ownership of all applicable rebates and incentives including Alternative Energy Credits related to Prize for the term of this agreement.
9. Solar Modules: Simplex Solar provides a full warranty on installed solar modules for the term of this agreement. Solar modules include a 25 year manufacturer's warranty.
10. Inverters: Simplex Solar provides a full warranty on installed inverters for the term of this agreement. Inverters include a 10 year manufacturer's warranty.
11. Balance of System: Simplex Solar provides a full warranty on all other installed components included in Prize for the term of this agreement.
12. Alterations: Winner shall make no alterations, modifications, attachments, improvements, enhancements, revisions or additions to any of the Prize system without the Simplex Solar's written consent. In no event shall the Winner take any action which could void or impair any warranties on the Prize in whole.
13. Access: Winner agrees to permit Simplex Solar and its representatives access to inspect the system from time to time as reasonably determined by Simplex Solar.
14. Required Upgrades: Winner is solely responsible for any and all cost associated with upgrades, repairs, alterations to the Property including but not limited to roof, building structure, and electrical system, which may be required by code or in general to accept Prize, including any permits required.
LIMITATION OF LIABILITY:

By participating, entrants agree: (a) to the Official Rules and decisions of WNEP, which shall be final in all respects; (b) to release, discharge and hold harmless WNEP and its respective affiliates, parents, subsidiaries, advertising and promotion agencies, officers, directors, employees, representatives, and agents from all liability, injuries, losses or damages of any kind to persons, including but not limited to death or property resulting in whole or in part, directly or indirectly, from the acceptance, possession, misuse or use of a prize, or from participation in the Contest or any Contest related activity; (c) that the foregoing parties have neither made nor are in any manner responsible or liable for any warranty, representation or guaranty, expressed or implied, in fact or in law, relating to any prize. WNEP reserves the right, in its sole discretion, to cancel, terminate or suspend this Contest if unauthorized human intervention or other causes corrupt or affect the administration, security, fairness or proper conduct of the Contest. In such event, notice thereof will be posted on the aforementioned Website. Persons who violate any rule, gain unfair advantage in participating in the Contest, or obtain winner status using fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. WNEP will interpret these rules and resolve any disputes, conflicting ambiguities concerning the rules or the Contest and WNEP's decisions concerning such disputes shall be final. If the conduct or outcome of the Contest is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of WNEP, WNEP reserves the right to terminate the Contest, or make such other decisions regarding the outcome as WNEP deems appropriate. WNEP may waive any of these rules in its sole discretion. WNEP, ITS AFFILIATES, SUBSIDIARIES, ADVERTISING AND PROMOTION AGENCIES, AND INTERNET ACCESS PROVIDERS ARE NOT RESPONSIBLE FOR PRINTING OR TYPOGRAPHICAL ERRORS IN ANY CONTEST-RELATED MATERIALS; OR FOR STOLEN, LOST, LATE, MISDIRECTED, DAMAGED, INCOMPLETE OR ILLEGIBLE ENTRIES, INCORRECT ENTRY OF INFORMATION BY ENTRANTS, OR MALFUNCTIONS OF ANY TELEPHONE NETWORK, COMPUTER EQUIPMENT, SOFTWARE OR ANY COMBINATION THEREOF, OR FOR ENTRY MATERIALS THAT HAVE BEEN TAMPERED WITH, OR FOR HUMAN ERROR, OR LOST/DELAYED DATA TRANSMISSION. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY CIRCUMVENT, DISRUPT OR DAMAGE ORDINARY AND NORMAL OPERATION OF THIS CONTEST, TELEPHONE SYSTEMS OR WEBSITE, OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, WNEP RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW AND TO DISQUALIFY ANY SUCH INDIVIDUAL FROM PARTICIPATION IN THE CONTEST.

Definitions:

For the purposes of this agreement, the following terms are defined:

Contest: the sweepstakes running from 10/29/09 11/25/09 fully encompassed by all terms outlined herein, including any and all advertising, promotion, trademarks and imagery associated. Entries received as part of this sweepstakes are the property of the Sponsors.

Prize: complete solar electric system as delivered and installed by Simplex Solar; including solar modules, racking, inverters, and all necessary wiring and components to complete an operational grid-tied solar electric system.

Property: the piece of real property on which the Prize is installed. Must be titled in Winner's name, as his/her primary residence in the state of Pennsylvania. Final approval of installation and dispersal of Prize is at the Sponsor's sole discretion.

Sponsors: includes WNEP, its affiliates, subsidiaries, and any and all qualified representatives, as well as Simplex Solar, its affiliates, subsidiaries and any and all qualified representatives.

Winner: that individual Pennsylvania resident who is chosen from the total amount of qualified Contest entries by random draw on November 25, 2009. If Prize is assigned or transferred, the receiving individual shall be construed as Winner for the purposes of this agreement.

Miscellaneous:

Each winner must submit proof of eligibility and sign WNEP's release form to claim the prize. WNEP may substitute prizes, amend the rules or discontinue the Contest at any time as announced on the Station(s). WNEP disclaims any responsibility to notify participants of any aspect related to the conduct of the Contest.

Arbitration:

The parties hereto agree that in the event of any dispute of disagreement between the parties with respect to this Contest, said dispute shall be subject to Common Law arbitration pursuant under Pennsylvania Law. Each party to this Contest shall appoint one such arbitrator, and the arbitrators aforementioned shall choose an additional arbitrator within ten (10) days after their appointment. The award of the majority of such arbitrators shall be final, binding and conclusive upon the parties hereto. The appointment of the first arbitrators shall be made within fourteen (14) days after receipt of notice from either party hereto to make such appointment. The failure of any party to so appoint an arbitrator shall authorize the other parties who had made an appointment to make an appointment for the party who failed to appoint an arbitrator. If the appointed arbitrators shall fail or be unable within ten (10) days to select an additional arbitrator, then such event, a judge of the Court of Common Pleas of the Commonwealth of Pennsylvania, Lackawanna County, upon application by either parties hereto for that purpose, is authorized and empowered to appoint such an arbitrator. The cost of said arbitrator (herein defined as the record costs and fees of the arbitrators) shall be equally borne by each party to pay his own expenses and attorney's fees.
